1. Acceptance of Agreement
Use Constitutes Acceptance
Katleon Inc. (“Company”, “we”, “us” or “our”) provides its services (the “Services”) to you (the “Customer”, “your” or “you”) through Zlowi, located at zlowi.com and its directly associated domains (the “Site”), subject to this Terms of Use agreement (the “Agreement”). By accepting this Agreement, or by accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to this Agreement. If you do not have such authority, or you do not agree with this Agreement, you may not use the Services.
Changes Effective When Posted
We may change this Agreement from time to time without prior notice. You can review the most current version at any time on this page. Revised terms become effective upon posting, and the date at the top of this page will reflect the most recent revision. Continuing to use the Services after that date constitutes acceptance of the revised terms. If a change is not acceptable to you, your only remedy is to stop accessing and using the Services.
Registration
You must complete a registration to use the Services, providing true, accurate, current and complete information, and keeping it up to date. You are responsible for maintaining the security of your account and password, and for all activity that occurs under your account. We reserve the right, in our sole discretion, to refuse registration of, or to cancel, accounts we deem inappropriate.
Master Administrator
The person or entity that creates an account and is designated as its owner is the “Master Administrator.” For security reasons, only the Master Administrator may make changes to account ownership, cancel the account, or designate a new Master Administrator. We are not obligated to, and will not, resolve disputes between multiple persons claiming ownership of or rights to an account.
2. Description of Service
Services
The “Services” include (a) the Site, (b) the platform, tools and functionality made available through the Site, and (c) all software, data, text, images and other content made available through the Site or Service (the “Content”). New features that augment the Services are also subject to this Agreement.
Users
You may make the Services available to your employees, associates and/or partners (each a “User”). The Master Administrator is responsible for managing Users on the account, including their access and permissions.
Service Availability
We rely on our hosting and/or cloud service providers to use commercially reasonable efforts to keep the Services available. We are not liable for any breach, loss or damage caused by the unavailability of those providers, including planned maintenance (of which we will give advance notice where practical), events beyond our reasonable control, or internet service provider failures.
Customer Data
Information you or your Users submit to the Services (“Customer Data”) is stored with our hosting and/or cloud service providers. We use commercially reasonable efforts, together with those providers, to protect the security, confidentiality and integrity of Customer Data, but we are not liable for any breach, loss or damage arising from a failure to secure, keep confidential, or otherwise protect Customer Data. It is solely your responsibility to maintain independent backups of Customer Data that matters to you.
Data Access
We will only access Customer Data:
- to provide technical support for the Services;
- for development, testing and improvement of the Services;
- as required by law;
- as permitted under our Privacy Policy; or
- when you expressly permit us to do so in writing.
3. Restrictions and Responsibilities
This is an agreement for Services, not a license to any software. You will not, directly or indirectly: reverse engineer, decompile or disassemble the Services or any related software or documentation; modify, translate or create derivative works based on the Services; copy, distribute, sublicense, assign or otherwise transfer rights to the Services; use the Services for timesharing or service-bureau purposes or for the benefit of a third party; or remove any proprietary notices or labels.
You represent and warrant that you will use the Services only in compliance with this Agreement, our Privacy Policy, and all applicable laws (including laws related to spamming, privacy, obscenity or defamation). You agree to indemnify and hold Katleon Inc. harmless from any claim arising from your violation of the foregoing. We have no obligation to monitor content submitted through the Services, but may do so, and may remove content or restrict use of the Services that we believe violates this Agreement.
“Zlowi,” “Katleon” and our logos are trademarks of Katleon Inc. and may not be used without our prior written consent. All Content, software, and other proprietary materials made available through the Services are owned by Katleon Inc. or its licensors and are licensed, not sold, to you under this Agreement. Except for the rights expressly granted here, all rights are reserved by Katleon Inc.
4. Term and Termination
You may terminate this Agreement at any time by discontinuing use of the Services and closing your account. We may terminate this Agreement or the Services at any time, with or without cause or notice, and will have no liability to you or any third party as a result. Upon termination, we will cease providing the Services, any outstanding fees owed will become immediately due, and you will not be entitled to a refund of fees already paid. Provisions that by their nature should survive termination (including warranty disclaimers and limitations of liability) will survive. We may delete archived Customer Data within a reasonable period after termination and have no obligation to retain it beyond that point.
5. Fees and Payment
If you subscribe to a paid plan, you agree to pay the fees described on the Site or in your order for that plan. We may modify our pricing from time to time; changes take effect at your next renewal or upgrade. Except as required by law or expressly stated otherwise, fees are non-refundable. You are responsible for providing a valid payment method and for all taxes associated with your use of the Services. If payment is not received when due, we may suspend or terminate your access to the Services.
6. Prohibited Uses
You may not use the Services to engage in, or facilitate, any of the following: unlawful, fraudulent, obscene or abusive activity; transmitting viruses, malware or other harmful code; interfering with or disrupting the integrity or performance of the Services or any connected network; attempting to gain unauthorized access to the Services, other accounts, or related systems (“hacking”); sending unsolicited bulk communications; forging headers or otherwise disguising the origin of any content sent through the Services; infringing the intellectual property or privacy rights of others; or any other activity that we determine, in our reasonable discretion, is harmful to the Services, other users, or Katleon Inc. We may suspend or terminate access, with or without notice, for any violation of this section.
7. Copyright Infringement (DMCA)
If you believe content available through the Services infringes a copyright you own, please send a written notice to info@katleoninc.com that includes: (a) a signature of the person authorized to act on behalf of the copyright owner; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material you claim is infringing, with enough detail for us to locate it; (d) your contact information; (e) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.
If you believe your content was removed or disabled in error, you may submit a counter-notification to the same address including: (a) your signature; (b) identification of the material removed and its location before removal; (c) your contact information; (d) a statement under penalty of perjury that you have a good-faith belief the material was removed as a result of mistake or misidentification; and (e) your consent to the jurisdiction of the federal courts described in Section 8, and a statement that you will accept service of process from the party that filed the original notice. Please note that knowingly misrepresenting that material is infringing may expose you to liability for damages.
